1Acceptance of these terms

These Terms of Service ("Terms") are a legal agreement between you and [legal entity name, e.g. One Stop Trucking Pvt. Ltd.] ("One Stop Trucking", "we", "us" or "our"). By creating an account, connecting QuickBooks Online, or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you use the Services on behalf of a company, you confirm that you are authorised to accept these Terms for that company, and "you" refers to that company.

If you do not agree, do not use the Services.

2The Services

One Stop Trucking provides software and related services for trucking and logistics businesses, which may include load and trip management, dispatch, invoicing, expense tracking and synchronisation of financial records with QuickBooks Online (the "Services"). We may add, change or remove features over time. If we remove a feature that is material to a paid plan, we will give you reasonable notice.

3Eligibility and accounts

• You must be at least 18 years old and able to form a binding contract to use the Services.
• You must give accurate account information and keep it up to date.
• You are responsible for keeping your login details secure and for all activity under your account. Tell us immediately at support@onestoptrucking.in if you suspect unauthorised use.

4Connecting QuickBooks Online

• By connecting your QuickBooks Online company, you authorise us to access, read and write the data described in our Privacy Policy to provide the features you use.
• You confirm that you are authorised to connect that QuickBooks Online company and to give us this access.
• Your use of QuickBooks Online is governed by your separate agreement with Intuit Inc. We are not responsible for the availability, accuracy or performance of QuickBooks Online or Intuit's API.
• You are responsible for reviewing the records we create or update in QuickBooks Online, such as invoices, bills and expenses, and for the accuracy of your books, tax filings and financial statements. The Services are a tool and do not provide accounting, tax or legal advice.
• You can disconnect QuickBooks Online at any time from your account settings or from the Apps section of your Intuit account. Disconnecting stops all future syncing; it does not reverse records already written to QuickBooks Online.

5Your data

You keep all rights to the data you enter into the Services or that we receive from QuickBooks Online on your behalf ("Your Data"). You give us a limited, non-exclusive licence to host, copy, process and transmit Your Data only as needed to provide, secure and support the Services, and as described in our Privacy Policy.

We do not sell Your Data or use it for advertising. You are responsible for having the rights and permissions needed to give us Your Data, including any personal information about your drivers, customers or vendors.

You can export Your Data while your account is active. After termination, we delete Your Data as described in the Privacy Policy.

6Acceptable use

You agree not to:

• use the Services for anything unlawful, fraudulent or misleading, including creating false invoices or financial records;
• access or try to access another customer's account or data;
• interfere with, overload or disrupt the Services, Intuit's systems or any connected network;
• reverse engineer, decompile or copy the Services, except where the law expressly allows it;
• upload malware or harmful code;
• resell, sublicense or rent the Services without our written permission; or
• use the Services in breach of Intuit's terms for QuickBooks Online or its developer platform.

7Fees and payment

• Paid plans are billed in advance on a [monthly / annual] basis at the prices shown when you subscribe, plus applicable taxes including GST.
• Subscriptions renew automatically unless you cancel before the renewal date.
• Fees are non-refundable except where required by law or stated otherwise in writing.
• We may change prices with at least 30 days' notice. Changes apply from your next billing period.
• If payment fails, we may suspend paid features after giving you notice.

8Intellectual property

The Services, including software, design, text, logos and trademarks, are owned by One Stop Trucking or its licensors and are protected by law. Subject to these Terms, we give you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business purposes.

If you send us feedback or suggestions, we may use them without any obligation to you.

QuickBooks, QuickBooks Online and Intuit are trademarks of Intuit Inc., used with permission or under fair use. One Stop Trucking is not affiliated with, sponsored by or endorsed by Intuit Inc.

9Third-party services

The Services connect to services we do not control, including QuickBooks Online. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, and we may stop supporting an integration if the provider changes or withdraws it.

10Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available". We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Services will be uninterrupted, error-free or always in sync with QuickBooks Online. You are responsible for keeping your own backups of important records.

11Limitation of liability

To the fullest extent permitted by law:

• we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the Services; and
• our total liability for any claim relating to the Services is limited to the greater of the fees you paid us in the 12 months before the claim arose or [INR 10,000].

Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud.

12Indemnification

You agree to defend and indemnify One Stop Trucking and its directors, employees and agents against any claims, losses and expenses, including reasonable legal fees, arising from your breach of these Terms, your misuse of the Services, or Your Data.

13Termination

• You may stop using the Services and close your account at any time.
• We may suspend or terminate your access if you breach these Terms, fail to pay, or if required by law, normally after giving you notice and a chance to fix the issue.
• On termination, your right to use the Services ends, we revoke any QuickBooks Online access tokens, and we delete Your Data as described in the Privacy Policy.
• Sections that by their nature should survive termination, including sections 5, 8, 10, 11, 12 and 14, will survive.

14Governing law and disputes

These Terms are governed by the laws of India. Before starting any formal proceeding, both parties agree to try to resolve a dispute informally for at least 30 days. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts at [Ludhiana, Punjab], India. [Optional: replace with an arbitration clause under the Arbitration and Conciliation Act, 1996.]

15Changes to these terms

We may update these Terms from time to time. If a change is material, we will notify you by email or in the Services at least 15 days before it takes effect. Continuing to use the Services after that date means you accept the updated Terms.

16General

These Terms and the Privacy Policy are the entire agreement between you and us about the Services. If any part is found unenforceable, the rest stays in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of our business. Neither party is liable for delays caused by events beyond its reasonable control.
